Terms of Service
Last updated: October 15, 2026
These Terms of Service (“Terms”) govern access to and use of ContractSignal (the “Service”), operated by Chris Scotto DiVetta (“we,” “us,” or “ContractSignal”), 180 Talmadge Rd PMB 239, Edison, NJ 08817. By creating a profile, joining the waitlist, starting a paid or promotional subscription, or using the Service, you agree to these Terms and our Privacy Policy.
Not legal advice / no attorney-client relationship. ContractSignal provides information tools for commercial cleaning and facilities businesses. Nothing on the Service is legal, procurement, or bid-compliance advice.
1. The Service
ContractSignal emails personalized digests of publicly available U.S. government and public-agency cleaning, janitorial, and facilities contract opportunities that may match your profile, may send deadline or walkthrough reminders, and may offer AI-assisted “response kit” drafts. We do not submit bids, negotiate with agencies, or act as your agent.
- Federal listings are drawn primarily from the official SAM.gov Get Opportunities Public API. Local (municipal, county, school, state, transit) coverage varies by jurisdiction and is currently deepest in New Jersey.
- We are not affiliated with, endorsed by, or an official channel of the U.S. General Services Administration (GSA), SAM.gov, any federal, state, or local government agency, or any procurement portal.
- Opportunity data is provided for convenience. Agencies change postings, issue addenda, and correct errors. You must confirm every material fact (including deadlines, documents, set-asides, and submission instructions) on the agency’s official solicitation before bidding.
2. Eligibility and accounts
The Service is intended for businesses and business contacts in the United States. You must provide accurate profile information and keep it updated. You are responsible for activity under your email address and for safeguarding any login or billing credentials.
3. Subscription, free pilot month, and auto-renewal
Unless a different price is stated at checkout, the paid plan is $149 USD per month, billed in advance on a recurring monthly basis through Stripe.
- Pilot / first month free. During the pilot, eligible subscribers may receive the first month at no charge (for example via the Stripe coupon “PILOT” or an equivalent promotional credit). After the free or promotional period ends, your payment method on file will be charged $149/month unless you cancel before the charge.
- Automatic renewal. Your subscription renews automatically each billing period until you cancel. By completing checkout you authorize recurring charges to your payment method for the stated price until cancellation.
- What you get. Digests and features described on the website for your plan, subject to coverage limits, fair-use draft limits, and these Terms.
- Taxes. Prices may exclude applicable taxes, which Stripe or we may collect where required.
How to cancel. You may cancel anytime before the next renewal so that you are not charged for the following period. Preferred method: use the Stripe Customer Billing Portal link we provide (or request one by emailing [email protected]). You may also cancel by emailing that address with the subject “cancel subscription.” Cancellation takes effect at the end of the then-current paid or promotional period unless otherwise stated at checkout. We do not promise prorated refunds for partial months unless required by law or expressly offered.
Material subscription terms (price after any free period, billing frequency, and how to cancel) will also be shown at Stripe checkout before you submit payment information. If marketing copy and checkout terms ever conflict, the checkout disclosure and these Terms control.
4. Emails and commercial messages
If you subscribe or consent on our forms, we send Service emails (digests, reminders, account notices). You may unsubscribe from marketing or digest emails using the unsubscribe link in the message or by emailing [email protected] with subject “unsubscribe.” We honor opt-outs as required by the CAN-SPAM Act and applicable law. Transactional messages about billing or legal notices may still be sent when appropriate.
5. AI-drafted response kits
Optional “Draft my response” kits may use automated extraction and third-party AI models (currently xAI) to produce cover-letter drafts, checklists, narratives, and suggested questions from public solicitation text and your profile.
- Kits are starting points only. You alone are responsible for reviewing, editing, verifying, and submitting any bid.
- We do not guarantee completeness, accuracy, compliance with solicitation requirements, or that use of a kit will result in an award, shortlist, or any particular outcome.
- Do not treat AI output as legal, bonding, insurance, or prevailing-wage advice. Placeholders and “[CONFIRM: …]” markers must be completed by you.
- Draft generation may be rate-limited (for example, a monthly cap per customer).
6. Acceptable use
You may not: misuse the Service; attempt unauthorized access; resell or republish substantial portions of our digests as a competing feed without permission; submit unlawful content; or use the Service to harass or spam. We may suspend or terminate access for misuse, nonpayment, or legal risk.
7. Intellectual property and government data
Our website, branding, and original content are owned by us. Public solicitation text and government data remain subject to the rights and terms of the issuing agency and applicable public-domain or license rules. SAM.gov opportunity data is accessed via the official API; automated scraping of SAM.gov is prohibited by SAM.gov terms. Credit: opportunity fields originating from SAM.gov are sourced from SAM.gov / GSA public data.
8. Disclaimers
THE SERVICE AND ALL LISTINGS, DRAFTS, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted service, error-free matching, or that every relevant opportunity will be found or verified.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTSIGNAL AND CHRIS SCOTTO DIVETTA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES, OR FOR LOST BIDS, MISSED DEADLINES, OR AGENCY DECISIONS. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent allowed.
10. Indemnity
You will defend and indemnify us against claims arising from your bids, submissions, misuse of the Service, or violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
11. Privacy
Personal and business information is handled as described in our Privacy Policy. Processors may include Cloudflare (hosting/KV), Resend (email), Stripe (payments), and xAI (AI drafts).
12. Changes and termination
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes to paid subscription terms will be communicated by email or at renewal where required. We may discontinue the Service or a feature with reasonable notice when practicable. You may stop using the Service and cancel as described above.
13. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, except that mandatory consumer-protection laws of your state of residence may still apply. Exclusive venue for disputes that are not subject to a mandatory other forum is the state or federal courts located in New Jersey, unless applicable law requires otherwise.
